These Terms of Service (“Terms”) govern your access to and use of the products and services provided by Optane AI (“Optane AI”, “we”, “us”, or “our”), including our website, dashboards, software, APIs, AI-powered voice agents, integrations, documentation, and related services (collectively, the “Services”).
By creating an account, subscribing, accessing, or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” refer to that entity.
If you do not agree to these Terms, you must not access or use the Services.
1.1 Business use only. The Services are intended exclusively for business-to-business (B2B) and business-to-consumer (B2C) commercial use. Personal, consumer-only, emergency, medical, or life-critical use is strictly prohibited.
1.2 Authority. You represent that you are at least 18 years of age and have full legal authority to enter into these Terms on behalf of the business you represent.
1.3 Account information. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for all activity that occurs under your account.
1.4 Security. You are responsible for maintaining the confidentiality of your login credentials. You must notify us promptly if you believe your account has been compromised.

2.2 No guaranteed results. The Services are provided as tools to assist your business operations. We do not guarantee any specific business outcome, revenue, conversion rate, booking volume, or customer satisfaction level.
2.3 Evolving technology. Artificial intelligence and voice technologies are probabilistic and may occasionally produce unexpected, incomplete, or incorrect outputs. You acknowledge and accept this limitation and agree to supervise, test, and verify the Services before and during live use.
2.4 Configuration interface only. You acknowledge that Optane AI acts solely as a configuration, orchestration, and management interface for AI voice agents and does not operate or own the underlying voice, transcription, or language model infrastructure.

3.3 Mandatory AI disclosure. You acknowledge that, under applicable laws (including Australian Consumer Law), callers may have a legal right to know they are interacting with an automated assistant. You agree not to remove, suppress, or circumvent AI disclosure mechanisms provided or required by the Services.
3.4 Knowledge Base responsibility. You represent and warrant that all data, scripts, prompts, FAQs, or other materials supplied to the AI (“Knowledge Base”) are accurate, lawful, non- misleading, and suitable for public-facing automated use. Optane AI is not responsible for errors, hallucinations, or outcomes resulting from inaccurate or inappropriate client-provided content.

Our handling of data is governed by our Privacy Policy and our Data Processing Addendum (DPA), both of which are incorporated into these Terms by reference. In the event of a conflict regarding data processing, the DPA shall prevail.
Zero-Retention Architecture. Optane AI enforces a strict zero-retention model. We do not store, record, or persist call audio, transcripts, or raw conversational content in our databases. All processing is ephemeral and handled by third-party infrastructure sub-processors as detailed in our DPA.
Client Responsibility & Transparency. You are solely responsible for providing appropriate disclosures to your callers and obtaining any required legal consents.
AI Identification. The Service is configured by default to include mandatory AI-identification disclosures. You shall not request, nor attempt to influence, any configuration that circumvents these transparency measures or causes the AI to misrepresent itself as a human agent in violation of applicable consumer or "Right to Know" laws.
5.1 Subscription plans. Access to the Services is provided on a subscription basis according to the plan you select.
5.2 Usage-based charges. Certain usage (such as AI voice call minutes) may be billed based on consumption.
5.3 Merchant of record. Payments may be processed by a third-party merchant of record (such as Paddle).
5.4 Payment obligations. Failure to pay may result in suspension or termination of Services.
We may suspend or terminate access for non-payment, legal risk, violation of these Terms, or misuse of the Services.
All intellectual property in the Services is owned by Optane AI or its licensors. You retain ownership of your own business data.
The Services are provided on an “as is” and “as available” basis. AI-generated information is for informational purposes only and must be independently verified by you.
You acknowledge that the AI is not a final authority and that you remain the final arbiter of truth for all business decisions, appointments, pricing, and representations.
To the maximum extent permitted by law, Optane AI shall not be liable for indirect, incidental, consequential, emotional, or reputational damages.
The Services utilize Large Language Models (LLMs) which may occasionally produce inaccurate, misleading, or 'hallucinated' information. You acknowledge that Optane AI does not guarantee the accuracy of AI-generated responses. You are the 'Final Arbiter' of all business data and must independently verify all appointments, pricing, or instructions provided by the AI Agent.
Optane AI’s total aggregate liability, including liability arising from third-party infrastructure failures or outages, shall not exceed the total fees paid by you to Optane AI in the three (3) months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Optane AI from any claims, damages, losses, fines, or legal fees arising out of:
The Services are provided strictly for general business receptionist, administrative scheduling, and basic customer interaction workflows. The Services are not designed, intended, or authorized for use in high-risk, life-critical, or highly regulated environments.
You are strictly prohibited from using the Services for: (a) emergency response services or 911/emergency dispatch; (b) medical diagnosis, triage, or clinical treatment advice; (c) providing legal, financial, or professional advice that requires licensing; or (d) any application where a failure of the Service could lead to death, personal injury, or severe environmental damage.
Optane AI disclaims any and all liability for use of the Services in violation of this section. Any such use shall result in immediate termination of your account without notice or refund.
We may modify the Services or these Terms from time to time. Continued use constitutes acceptance.
These Terms are governed by the laws of India. Exclusive jurisdiction lies with the courts of India.
